Terms & Conditions (Terms of Use and Sale)

1. About Us

1.1 We are WORLDWIDE DECISION LTD (“we”, “us”, “our”), a company registered in England and Wales. We operate the website neuro-avatar.com (the “Site”).

1.2 These Terms & Conditions govern your access to and use of the Site and the purchase and licence of digital avatar images generated with artificial intelligence (“AI Images” or “Digital Content”).

1.3 By creating an account or completing a purchase, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Site.

2. Eligibility and Account

2.1 You must be at least 18 years old to purchase Digital Content. If you are 16–17, you may use the Site only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

2.2 You are responsible for keeping your account credentials confidential and for all activity under your account. Inform us promptly if you suspect unauthorised use.

3. Our Products and Services

3.1 Digital Content: AI-generated avatar images offered as instant digital downloads in various sizes.
3.2 Delivery: fulfilment is digital only via your account and/or download link—no shipping of physical goods.
3.3 No subscriptions: purchases are one-off. No recurring fees are charged by us.
3.4 Availability: we may add, remove, or modify products without prior notice; we aim to maintain availability but do not guarantee uninterrupted access.

4. Ordering, Pricing and Currencies

4.1 Placing an order constitutes an offer to purchase Digital Content. We may accept or decline any order at our discretion (e.g., for pricing or system errors).

4.2 Prices are shown in one or more of the following currencies: USD, EUR, AUD, and CAD. Your final checkout currency may depend on your selection and/or payment provider settings.

4.3 Taxes: Where applicable, prices may include or exclude VAT or other sales taxes depending on your location and the applicable rules. Any taxes payable will be shown at checkout.

4.4 Your card issuer or bank may apply FX conversion fees or other charges if your payment instrument currency differs from the checkout currency.

5. Payments

5.1 Payments are processed by independent payment service providers. We do not store full payment card details on our systems.

5.2 By submitting a payment method, you authorise the charge for the total order amount. If the payment is declined or later reversed, we may suspend or revoke access to purchased Digital Content.

5.3 We employ general fraud and abuse prevention measures. We may cancel orders where we reasonably suspect unauthorised, fraudulent, or abusive activity.

6. Digital Delivery and Download Consent

6.1 Digital Content is made available for download immediately after payment. By clicking “Buy now” (or similar) you expressly agree that we may begin the supply of digital content immediately and that you will lose your statutory right to cancel once the download or streaming starts.

6.2 If you have not yet started a download, you may request to cancel the order—see our Refund Policy for details.

7. Licence to Use AI Images

7.1 Upon successful purchase, we grant you a non-exclusive, worldwide, perpetual, non-sublicensable and non-transferable licence to use the purchased AI Images for the Permitted Uses below, subject to these Terms and any usage limits presented at checkout.

7.2 Permitted Uses include:

Personal or commercial use for online identity, social media, websites, blogs, and digital content.
Incorporation into marketing materials, presentations, and creative projects where the AI Image is not the primary product being resold as a standalone file.

7.3 Restrictions (you must NOT):

Resell, relicense, redistribute, or sub-license the AI Images as standalone files or as part of any competing service or image pack/template.
Claim or imply exclusivity or uniqueness of the AI Images; similar or identical outputs may be generated by others.
Use the AI Images as or within a logo or trademark, or seek to register them as such.
Use the AI Images in any unlawful, defamatory, hateful, harassing, or misleading context, including deepfakes intended to deceive.
Use the AI Images to train or improve any machine learning or biometric recognition systems.

7.4 Ownership: We (and/or our licensors) retain all intellectual property rights in the Digital Content. Except for the licence expressly granted, no other rights are transferred to you.

8. User Content (Prompts, Uploads, and Submissions)

8.1 If you submit content (e.g., prompts, reference photos), you represent and warrant that you own or have the necessary rights to use such content and that it does not infringe third-party rights.

8.2 You must not upload or submit content that is illegal or violates the rights of others (including privacy or publicity rights). We may remove or disable access to content at our discretion.

9. Refunds and Chargebacks

9.1 Because Digital Content is supplied immediately, refunds are generally not available once a download has started. Please review our separate Refund Policy for full details and exceptions (e.g., duplicate charges or failed delivery).

9.2 If you initiate a chargeback without first contacting us, we may suspend your account and revoke licences for affected orders pending resolution.

10. Intellectual Property and Takedowns

10.1 All content on the Site (including the AI Images, text, graphics, trademarks, and brand elements) is protected by intellectual property laws. Unauthorised use is prohibited.

10.2 If you believe any content infringes your rights, please notify us at info@neuro-avatar.com with sufficient detail to locate and assess the material.

11. Acceptable Use

Do not interfere with the proper functioning or security of the Site.
Do not attempt to circumvent technical protections, usage limits, or access controls.
Do not use the Site to conduct illegal activity or to harm, harass, or deceive others.

12. Availability, Maintenance, and Changes

12.1 We aim to keep the Site available and secure but do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance or to address security issues.

12.2 We may update the Site, product offering, and these Terms from time to time. The version posted on the Site is the current version. Material changes will be indicated by updating the effective date.

13. Warranties and Disclaimers

13.1 The Digital Content is provided “as is” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Without limiting the foregoing, we do not warrant that the AI Images will be unique or free from artefacts, nor that they will meet your specific expectations or intended uses.

13.2 Nothing in these Terms affects your mandatory consumer rights under applicable law.

14. Liability

14.1 We are not liable for any loss or damage that is not a foreseeable result of our breach or that was not caused by our acts or omissions. We do not exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability which cannot be excluded under law.

14.2 To the extent permitted by law, in respect of any claim relating to paid Digital Content, our aggregate liability to you will not exceed the total amount paid by you for the Digital Content giving rise to the claim in the 12 months preceding the event giving rise to liability.

15. Suspension and Termination

15.1 We may suspend or terminate your access to the Site or to specific Digital Content if you materially breach these Terms or use the Site in a way that creates risk or potential legal exposure for us or others.

16. Third-Party Services

16.1 The Site may include links to or integrations with third-party services (e.g., payment providers). We are not responsible for third-party content, terms, or policies.

17. Governing Law and Venue

17.1 These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that consumers resident in other UK jurisdictions may bring proceedings in their local courts.
